These terms are an agreement between you and Rohas Nagpal, who operates vDPO. By creating an account, buying anything or using vDPO, you accept them. If you use vDPO for an organisation, you accept them on its behalf and confirm you are authorised to do so.
1. The service
vDPO provides tools for data protection and privacy compliance: a library of compliance controls mapped to laws, client workspaces with scores and reports, gap analyses, law summaries, vDPO Proof, a free privacy-policy generator, and related plugins. Features differ between editions and may change over time.
2. Accounts
- You must be at least 18 years old and able to enter into a binding contract.
- Keep your sign-in details confidential. You are responsible for everything done through your account.
- Tell us straight away at team@vdpo.org if you suspect unauthorised use.
- The information you give us must be accurate and kept up to date.
3. Not legal advice
vDPO is a compliance tool. Its controls, scores, reports, law summaries and generated documents are aids to your own professional judgement, not legal advice, a legal opinion or a certification. Using vDPO does not create a lawyer–client relationship. Read the Disclaimer.
4. Your content and your clients' data
- You own the content you add, such as client details, notes and answers. You let us store and process it only to provide vDPO to you.
- When you add data about your clients or other people, you confirm that you are allowed to do so and have given any notices and obtained any consents the law requires. The Data Processing Addendum forms part of these terms.
- Keep your own copies of anything important. Real-client workspaces can be downloaded as encrypted backups.
5. Our content
vDPO, including its control library, control wording, mappings, law summaries, guides, templates, software and design, belongs to Rohas Nagpal and is protected by copyright and other laws. You may use it within vDPO for your own work and your clients' compliance, and share reports and documents you generate with your clients. You may not:
- copy, export, scrape or republish the control library or other content in bulk, or use it to build a competing product or dataset;
- resell, sublicense or share access to vDPO, or let more people use an account than your edition allows;
- reverse engineer, decompile or bypass any security, licence or usage limit;
- use vDPO for anything unlawful, to harm others, or to send malicious code or excessive automated requests.
6. Prices and payments
- Prices are shown in Indian Rupees and are the full amount payable. Payments are processed by Razorpay; their terms also apply to the payment.
- We may change prices. Changes apply to new purchases and renewals, not to what you have already paid for.
- Refunds are covered by the Refund and Cancellation Policy.
7. SaaS Edition subscriptions
- Each real client needs its own subscription, bought for one, two or three years from the date shown at purchase.
- Subscriptions do not renew automatically. You can renew a client at any time; renewal extends from the later of today and the current end date.
- After a subscription ends there is a 7-day grace period. After that the client's workspace is locked until you renew. Its data is kept and opens again on renewal, unless you delete the client or your account.
- Deleting a client ends its subscription. The remaining time is not refunded or moved to another client.
8. vDPO Proof credits
Each proof uses one credit. Credits are valid for three years from purchase. If a proof cannot be recorded, its credit is returned automatically. The vDPO Proof Terms also apply.
9. Other editions and plugins
The Learner Edition is provided as part of the Certified Data Protection Officer programme and follows that programme's terms. The Self-Hosted Edition and plugins are covered by their own licence agreements, which apply in addition to these terms.
10. Availability and changes
We work to keep vDPO available and accurate, but it may sometimes be unavailable for maintenance or reasons outside our control. We may add, change or remove features. If we stop a paid feature you have paid for, we will offer a fair alternative or a proportionate refund.
11. Suspension and closure
You can delete your account at any time in Settings. We may suspend or close an account that breaches these terms, puts the service or other users at risk, or where the law requires it. Where reasonable, we will give notice and a chance to download your data first.
12. Warranties and liability
vDPO is provided "as is" and "as available". To the extent the law allows, we do not promise that it will be error-free, uninterrupted or fit for a particular purpose, or that using it will make you or your clients compliant with any law.
To the extent the law allows, we are not liable for indirect or consequential loss, loss of profits, data or goodwill, or for penalties, fines or claims arising from your or your clients' compliance decisions. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
13. Indemnity
You agree to compensate us for claims, losses and reasonable costs arising from your breach of these terms, your unlawful use of vDPO, or data you add without the right to do so.
14. Governing law and disputes
These terms are governed by the laws of India. Please contact us first so we can try to resolve any dispute. If it is not resolved, the courts at Pune, Maharashtra, have exclusive jurisdiction.
15. Changes to these terms
We may update these terms and will show the new date at the top. For significant changes we will notify signed-in users in advance. Continuing to use vDPO after a change means you accept the updated terms.
